ASI DOORS, INC.
STANDARD TERMS & CONDITIONS FOR NEW DOOR SYSTEM SALES
(Items 10-12 apply when installation is included)
1. PRICES
Prices quoted are F.O.B. Seller's point of shipment unless otherwise explicitly stated in the quotation, are firm for 30 days from the date of the quotation and are subject to the addition of state and local taxes. Sales tax, fees, permits, bonds, etc. are the responsibility of the Buyer unless otherwise explicitly stated in the quotation. This quotation is void if not accepted by Buyer within 30 days from its date. Prices are valid for only the quantities stated on the quotation. Based on volatility of material costs orders are subject to a market surcharge.
2. DELIVERY DATES
Delivery dates, if provided, are estimates and Seller shall in no event be held liable for delays due to labor disputes, material shortages, subcomponent or hardware availability, fires, floods, delays in transportation, or any event or circumstance beyond its exclusive control.
Seller assumes no responsibility for delays, breakage, or damage after having made delivery to a carrier, at which time all risk of loss for any cause passes to Buyer. Buyer is responsible for unloading, delivery, and/or transportation of the doors from the dock to the application. Buyer also assumes any storage or storage fees associated with delivery. Machinery required for delivery and unloading is the responsibility of the Buyer.
3. CLAIMS
Claims will not be considered by the Seller for variances regarding order shortages unless presented in writing within 30 days after receipt of goods. The Buyer shall make all claims for breakage or other damage due to shipment or handling to the common carrier.
4. STORAGE
Storage fees will be assessed if the order cannot ship within two weeks of the previously communicated shipping date due to customer request or the inability to receive it. The following fee schedule will be applied. Full week charges are assessed at the beginning of the week and are not prorated. These additional charges will need to be authorized via a revised PO or Buyer-approved Change Order prior to being released for shipment from the factory.

5. WARRANTY
For all ASI DOORS new door systems is as follows: ASI DOORS warrants that its new door systems will be free from defects in design, materials, and workmanship for a period of one (1) year from the date of shipment with the exception of the following models which all get two (2) years free from defects in design and materials (less workmanship) from date of shipment: 109, 2200, 2700, 120-125, 1240-1250, 1240SS-1250-SS, 1260-1270, 1260SS-1270SS, 130-135, 140-150, 160-170, 220-225, 220SS-225SS, 230-235, 230SS-235SS. Parts orders are not covered by this warranty. In all instances, warranty labor is covered for a period of one (1) year from the date of original shipment.
All claims for breach of this warranty must be made within 30 days after the defect is, or can, with reasonable care, be detected and in no event more than 30 days after the warranty has expired. To be entitled to the benefits of this warranty, the products must have been properly installed, maintained with supporting maintenance records, and operated within their intended capabilities, and not otherwise abused. Periodic maintenance, lubrication, and adjustment is the sole responsibility of the owner. This warranty is ASI DOORS' exclusive expressed warranty. ASI DOORS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
In the event of any defects covered by this warranty, Seller will remedy such defects by repairing or replacing any defective equipment or parts, bearing all costs for parts, labor, and transportation. This shall be the exclusive remedy for all claims whether based on contract negligence or strict liability. Seller shall be the sole arbiter in determining validity of warranty claims. In all cases where a manufacturer extends to Seller a warranty for finished goods covered by this document, that warranty and all associated limitations of liability shall control Buyer's rights. Seller reserves the right to not honor portions of the standard Warranty Policy for product located outside of the continental United States.
6. LIMITATION OF LIABILITY
NEITHER ASI DOORS, NOR ANY OTHER MANUFACTUER WHOSE PRODUCTS ARE THE SUBJECT OF THIS TRANSACTION, NOR ANY ASI DOORS REPRESENTATIVE SHALL IN ANY EVENT BE LIABLE FOR ANY LOSS OF THE USE OF ANY EQUIPMENT OR INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND WHETHER FOR BREACH OF WARRANTY, NEGLIGENCE, OR STRICT LIABILITY.
7. SPECIFICATIONS
Specifications for the Seller's product can be provided upon request; however, the application of a manufacturer's specifications to a particular project is the responsibility of the Buyer.
8. CHANGE ORDERS
Change orders are required if changes are made to an order at the direction of the Buyer. The Seller may at any time after original order is released to production invoice administrative, labor, and material charges as applicable. Change Orders require written commitment from Buyer prior to being executed. Pending Change Orders without Buyer's written commitment will cause the order to be put on production hold.
9. CANCELLATION CHARGES
Cancellation charges will apply if Buyer cancels any portion of this agreement before accepting the merchandise for any reason, the following cancellation charges expressed as a percentage of the material purchase price will be paid by the Buyer and constitute liquidated damages.
- Before manufacturing commences - 20%
- During manufacturing - 80%
- After shipment - 100% plus shipment costs
10. RETURNS
Returns of new door systems are not allowed due to their configured nature.
11. MECHANICAL INSTALLATION
If provided, is non-union unless explicitly quoted otherwise. All work is to be completed during normal weekday business hours, 8 am-5pm, Monday-Friday. All work to be performed without interruption and the door openings to remain inactive during installation. Also, installers shall have clear fork truck access or pallet jack access to the site of installation.
12. ELECTRICAL INSTALLATION
Electrical installation is not included in any installation scope. Seller assumes no responsibility for electrical installation, including electrical hook-up of the door unless specified. All electrical schematics are available at no charge by calling ASI Doors at 800-558-7068.
13. STRUCTURAL INSTALLATION
Seller assumes no responsibility for wall, ceiling, bollard, or curbing work unless specified. Seller is not responsible for safety training, nor supervision. All installation manuals are available at www.asidoors.com.

Due to supply chain dependencies and work force fluctuations, lead times quoted are our best estimate at time of quote. Actual lead times may be affected by circumstances out of our control. Thank you for your patience and understanding.

1. PRICES

For all ASI Doors replacement parts is 60-day limited material only warranty from date of shipment. In all instances, warranty labor is NOT covered on replacement parts orders.

8. RETURNS
Returns are subject to the following requirements: Configured or made to order parts are NOT eligible for return. Electrical parts are not eligible for return. ASI Doors will not accept returns of any items that have an individual list price less than $100. All approved returns will have a 30% restocking fee deducted from any credit. Only stocked parts in new and unused condition in original packaging are returnable. Parts returned without confirmed Return Material Authorization from ASI Doors will not be eligible for credit. Return shipping costs are the responsibility of the RMA requestor and are not refundable. Returned parts received by ASI Doors in conjunction with a warranty claim that are found to not be defective are not eligible for credit and an invoice will be generated for billable parts. Verification of required parts is the responsibility of the Buyer. Buyer's acceptance of a quote is authorization to proceed with order as quoted and Buyer is responsible for proper fit and compatibility with the existing door system. Returns are not allowed for parts ordered in error.
9. MECHANICAL INSTALLATION
Mechanical installation is not included in any replacement parts orders.
10. ELECTRICAL INSTALLATION
Electrical installation is not included in any replacement parts orders.
11. STRUCTURAL INSTALLATION
Seller assumes no responsibility for any wall, ceiling, or structural support. All installation manuals are available at www.asidoors.com.
